Marianna Karahanna is a corporate lawyer and is currently leading the firm’s Corporate and Business services.
Marianna was initially part of the litigation team of the firm and her experience has been valuable as she developed a pragmatic approach which allows her to effectively manage and judge their legal risk of each transaction. Her litigation background provided her with the skills to identify and engage with key issues at an early stage and concentrate on what is most important for the clients.
She provides expert legal support on core aspects and business affairs of a company, from simple employment processes to the protection of intellectual property and related rights. This includes M&A, joint ventures, partnership structures, the structure and governance of closely-held and family businesses, compliance procedures, commercial contracts and employment law as well as immigration aspects of mergers and acquisitions and of recruiting international staff.
Over the years Marianna has advised foreign entrepreneurs to set up businesses in sectors as diverse as hospitality, e-commerce, software, tech, renewable energy, recruitment, fast moving consumer goods and property.
Marianna holds a Bachelor of Laws from the National and Kapodistrian University of Athens and a Master of Laws in Corporate Law from the University of London.
Marianna qualified as an Advocate in 2013.
• Acting for a leading Ukrainian company with a subsidiary company in Cyprus and arranging for the issuance of the work permits for its third country employees within the framework of an intra - corporate transfer.
• Advising a high net worth Ukrainian beneficial owner of a Cyprus IT company in relation to the employment of a third country national in Cyprus and the issuance of a temporary residence and employment permit within the framework of the employment in a Cyprus company with foreign interest.
• Acting for the Russian beneficial owner of a Cyprus Company, in relation to a voluntary liquidation of his company in Cyprus, arranging for the appointment of the Liquidator, the payment of all the creditors and debts, the publication of the results to the Official Gazette of Cyprus and the filling of the accounts to the Registrar of Companies.
• Advising a Russian HNW businessman and beneficial owner of a group of companies, in relation to the corporate reorganization and restructuring of his business.
• Advising a Serbian law firm in respect of the protection of the funds of their HNWI client through the formation of a Cyprus International Trust.
• Acting for a big group of Oil and Gas Cyprus companies, arranging and completing the merger process by drafting the restructuring plan, acquiring the consent of the creditors, drafting and filling all relevant documents and applications and appearing before the court for the approval of the restructuring.
• Acting for a leading Cyprus factory, arranging for the protection of its intellectual property assets, by the registration of a trademark within the European Union (European Trademark).
• Acting for a Municipality in Cyprus, arranging the registration and renewal of its trademarks within Cyprus (Local Trademark Registration).
• Acting for a high net worth Russian individual in relation to the purchase of a Cyprus company, arranging the preparation of the share purchase agreement while taking all the appropriate actions until the consummation of the transactions.
• Advising a big Ukrainian law firm and its clients in respect of the conversion of a loan into share capital under the Cyprus Company Law, Cap. 113 through the issuance of new shares (increase of share capital) and the allotment of the shares to the new shareholders.
• Acting for an International Medical Humanitarian Organization and arranging for the expansion of their activities in Cyprus through the formation and registration of a Cyprus Non – Profit Organization.
• Advising an Energy Business Group, based in Kiev, Ukraine which specializes in development and EPC (engineering, procurement and construction) of renewable energy projects in all matters related to the applicable legal framework in Cyprus.
• Acting for a leading Greek Pharmaceutical Company and arranging for the marketing authorization of pharmaceutical and medicinal products in Europe and establishment of their business in Cyprus.
• Advising for the issuance of a license by the Cyprus Medical Council with regards to the registration of a Medical Liability Company in Cyprus.
